TERMS OF SERVICE

These Terms of Service (“Terms”) govern the provision of services by TEJAS NARESH KHAIRNAR, a sole proprietor registered in India operating under the brand name Mediastall (“Service Provider”, “we”, “us”), to the client (“Client”, “you”).

By accessing or using our services, you agree to be bound by these Terms.

1. SERVICES

We provide AI-driven digital content services, including but not limited to:

• AI-generated video creation
• Voice cloning and synthesis
• Script writing
• Video editing
• Social media management and content publishing

The exact scope, deliverables, timelines, and pricing will be defined in a separate agreement, proposal, or written confirmation prior to commencement.

2. PAYMENT TERMS

• Pricing is project-based or package-based depending on the Client’s requirements.
• A partial or full upfront payment is required before work begins.
• Remaining payments must be made as per the agreed schedule.
• Services may be paused or withheld in the event of delayed or incomplete payments.
• All payments are processed as consideration for digital services rendered.

3. CONTRACT DURATION

Engagement duration depends on the selected package and may include:

• Monthly agreements
• 3-month engagements
• 6-month engagements
• 12-month engagements

The agreed duration will be specified in the service agreement.

4. CLIENT RESPONSIBILITIES

The Client agrees to:

• Provide necessary materials, inputs, and approvals in a timely manner
• Ensure all submitted content, likeness, or voice usage is authorized
• Cooperate throughout the production process

Delays in communication or approvals may affect delivery timelines.

5. AI VOICE & LIKENESS CONSENT

• Explicit consent is required for the cloning of any voice, image, or likeness for AI generation.
• No such replication will be performed without authorization on their respective third party app.
• The Client is responsible for securing rights to any third-party likeness or voice.

6. CONTENT OWNERSHIP

• Upon full payment, all final deliverables are owned by the Client.
• Ownership applies only to completed and paid content.
• Drafts, unused materials, and internal assets remain the property of the Service Provider.

7. REVISIONS & DELIVERY

• Timelines and revision limits are defined per project.
• Additional revisions outside scope may be chargeable.
• Delivery timelines depend on Client responsiveness and approvals.

8. ACCEPTABLE USE

The Client agrees not to use our services for:

• Unlawful, misleading, or fraudulent purposes
• Unauthorized impersonation or rights violations
• Any activity in breach of applicable laws in India

We reserve the right to decline or terminate services if necessary.

9. TERMINATION

• Either party may terminate the engagement with 14 days’ written notice.
• Fees paid prior to termination are non-refundable.
• Work completed up to termination may be delivered proportionately, where applicable.

10. SERVICE EXPECTATIONS

We apply industry best practices, current platform knowledge, and creative strategy to deliver high-quality content aligned with the Client’s goals.

However, outcomes may vary based on external factors such as platform behavior, audience response, and market conditions, which remain outside direct control.

11. PLATFORM DEPENDENCY

Our services may involve third-party platforms. We are not responsible for:

• Platform policy or algorithm changes
• Content visibility fluctuations
• Account restrictions or actions taken by platforms

12. LIMITATION OF LIABILITY

To the extent permitted under applicable law:

• Liability, if any, shall be limited to the total fees paid for the relevant services.
• We are not liable for indirect or consequential losses arising from the use of our services.

13. CHARGEBACKS & DISPUTES

• The Client agrees to contact us first to resolve any concerns before initiating a payment dispute or chargeback.
• Initiating a chargeback without prior communication may be considered a breach of these Terms.
• Evidence of service delivery, communication, and agreed scope will be used in dispute resolution if required.

14. INDEMNIFICATION

The Client agrees to indemnify and hold harmless the Service Provider from any claims or liabilities arising from:

• Use of the delivered content
• Unauthorized use of third-party assets
• Business decisions made based on the content

15. GOVERNING LAW

These Terms shall be governed by the laws of India.

Any disputes shall fall under the jurisdiction of courts in Maharashtra, India.

16. MODIFICATIONS

We reserve the right to update these Terms at any time. Continued use of services constitutes acceptance of any updates.

17. ACCEPTANCE

By engaging our services, the Client confirms that they have read, understood, and agreed to these Terms.
